1. Scope

These Terms cover your use of codervive.com and our software design & development, UI/UX, and web/app services. Project details (scope, deliverables, timeline, price, change process) are defined in your SOW/MSA. If anything conflicts, the SOW/MSA wins. See our Privacy Policy.

2. Engagement basics

• Age 16+ (or your local digital-consent age).
• You’ll provide timely assets, access, and approvals.
• You confirm your materials don’t infringe third-party rights.

3. Payments

• Invoices due per SOW (default: due on receipt).
• Late amounts may accrue up to 1.5%/month (or legal max).
• We may pause work for non-payment. Taxes/FX/bank fees are yours.
• Payment methods: card, Payoneer, bank transfer (as available).

4. Changes & cancellation

• Changes must be written; we’ll re-estimate time & cost.
• Either party can end for convenience (if not stated, 14-day notice).
• You owe for work done plus non-recoverable third-party costs.
• Deposits/discovery/third-party purchases are non-refundable.

5. IP & ownership

• After full payment, you own the Final Deliverables in the SOW.
• Excludes: third-party assets, open-source (their licenses), and our pre-existing tools.
• Our tools are licensed to you as included in the deliverables (non-exclusive, perpetual).

6. Confidentiality & data

• Both sides keep Confidential Information secret and use it only for the project.
• DPA available if we process personal data on your behalf.

7. Third-party & open-source

• Your external services (e.g., hosting, gateways) follow their own terms; you’re the owner.
• Open-source/third-party updates and deprecations are outside warranty unless on a support plan.

8. Warranty & liability

• 30-day bug-fix window for material defects in our code after acceptance.
• Services are provided “as is”; no guarantees of business outcomes.
• Liability cap: fees you paid in the last 3 months.

9. Acceptable use

No illegal activity, abuse, scraping beyond ordinary use, malware, or security testing without consent. We may suspend access for violations.

10. Law & contact

Governed by Bangladesh law; exclusive courts: Dhaka. Mandatory consumer protections still apply.
